Terms of Service

1. Acceptance of Terms and Eligibility

By downloading, installing, or using the ScanLens application ("App"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and BITFORGE PTE. LTD. ("Company," "we," "our," or "us").

If you do not agree to these Terms, do not use the App. We reserve the right to modify these Terms at any time, and your continued use of the App constitutes acceptance of any changes.

1.1 Age Requirements

You must be at least 13 years old to use ScanLens. If you are between 13 and 18 years old (or the age of legal majority in your jurisdiction), you may only use the App with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the App, you represent and warrant that you meet these age requirements.

1.2 Capacity

By using the App, you represent that you have the legal capacity to enter into this agreement. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

ScanLens is a mobile document scanning application that provides:

  • Document scanning using your device's camera
  • Optical Character Recognition (OCR) for text extraction
  • Digital signature creation and application
  • PDF creation, editing, and export
  • Cloud synchronization across devices (premium feature)
  • Document organization and management

3. User Accounts

3.1 Account Creation

Some features require account creation. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of unauthorized access
  • Be responsible for all activities under your account

3.2 Account Termination

You may delete your account at any time through the App settings. We may suspend or terminate accounts that violate these Terms or for extended inactivity.

4. Acceptable Use

You agree NOT to use ScanLens to:

  • Scan, store, or distribute illegal, harmful, or offensive content
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Use the App for fraudulent activities or identity theft
  • Reverse engineer, decompile, or disassemble the App
  • Circumvent any security features or access controls

5. Intellectual Property

5.1 Our Property

The App, including its design, features, code, and content, is owned by BITFORGE PTE. LTD. and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the App for personal or business purposes.

5.2 Your Content

You retain ownership of documents and content you create using ScanLens. By using our cloud features, you grant us a limited license to store and process your content solely to provide the service.

5.3 User Content Disclaimer

You are solely responsible for all content you scan, create, store, or share using the App. We do not review, verify, endorse, or authenticate any documents or content processed through ScanLens. This includes but is not limited to:

  • The accuracy, legality, or authenticity of scanned documents
  • Whether you have the right to scan, copy, or distribute the content
  • Compliance with copyright, trademark, or other intellectual property laws
  • Compliance with privacy laws when scanning documents containing personal information of others

We are not liable for any claims, damages, or legal consequences arising from your use of scanned documents, including claims of copyright infringement, fraud, forgery, or privacy violations.

6. Copyright and DMCA

6.1 Respect for Copyright

ScanLens respects intellectual property rights and expects users to do the same. You may not use the App to scan, reproduce, or distribute copyrighted materials unless you own the copyright or have permission from the copyright owner.

6.2 DMCA Notice

If you believe that content accessible through our cloud services infringes your copyright, you may submit a Digital Millennium Copyright Act (DMCA) notice to our designated agent:

  • Subject: DMCA Takedown Notice

Your notice must include: (1) identification of the copyrighted work; (2) identification of the infringing material; (3) your contact information; (4) a statement of good faith belief; (5) a statement of accuracy under penalty of perjury; and (6) your physical or electronic signature.

6.3 Repeat Infringers

We will terminate accounts of users who are repeat copyright infringers in appropriate circumstances.

7. Subscriptions and Payments

7.1 Free and Premium Plans

ScanLens offers both free and premium subscription plans:

  • Free Plan: Limited scans per month, basic features
  • Pro Plan: Unlimited scans, advanced OCR, digital signatures, cloud sync
  • Business Plan: All Pro features plus team collaboration, unlimited storage, API access

7.2 Billing

Premium subscriptions are billed through the Apple App Store. Subscription terms and billing are governed by Apple's terms.

7.3 Automatic Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You can manage subscriptions in your device's app store settings.

8. Refund Policy

Important: Refund requests for App Store purchases must be made through Apple, as they process all payments.

For subscriptions purchased through:

  • Apple App Store: Request refunds at reportaproblem.apple.com

We honor refund requests made within the applicable platform's refund window and in accordance with their policies.

9. Disclaimers

9.1 Service Availability

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time without notice.

9.2 OCR and Text Recognition Accuracy

While we strive for accuracy, OCR text recognition may contain errors, omissions, or inaccuracies. You are solely responsible for verifying the accuracy of all scanned documents and extracted text, especially for:

  • Legal documents and contracts
  • Financial records and tax documents
  • Medical records and prescriptions
  • Official government documents
  • Any documents where accuracy is critical

We are not liable for any damages, losses, or consequences resulting from errors in OCR output or scanned documents.

9.3 Digital Signatures

Digital signatures created in ScanLens are intended for convenience and may not constitute legally binding signatures in all jurisdictions. We make no representations regarding the legal validity or enforceability of digital signatures created using the App. Consult qualified legal counsel for documents requiring legally binding signatures or notarization.

9.4 Government and Official Documents

ScanLens is NOT intended for:

  • Creating, modifying, or forging government-issued identification documents
  • Producing counterfeit official documents, certificates, or licenses
  • Authenticating or certifying documents for legal purposes
  • Creating documents intended to deceive or defraud

Use of ScanLens to create fraudulent documents is strictly prohibited and may result in criminal prosecution. We cooperate with law enforcement in investigating suspected fraud.

9.5 Data Loss and Backup

WE ARE NOT RESPONSIBLE FOR ANY LOSS, CORRUPTION, DELETION, OR UNAUTHORIZED ACCESS TO YOUR DOCUMENTS, whether stored locally on your device or in cloud storage. This includes data loss due to:

  • Device failure, theft, or damage
  • Software bugs or App updates
  • Cloud service outages or failures
  • Account termination or suspension
  • Cyber attacks or security breaches
  • Your failure to maintain adequate backups

You are solely responsible for maintaining independent backups of all important documents. We strongly recommend regularly exporting and backing up your documents to multiple locations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL BITFORGE PTE. LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100)
  • We are not responsible for any loss of data, documents, or content, regardless of cause
  • We are not liable for any third-party services, products, or websites integrated with or accessible through the App
  • We are not liable for any actions, claims, or damages arising from your violation of these Terms or applicable laws

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless BITFORGE PTE. LTD., its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • Any content you scan, create, upload, store, or share using the App
  • Any claim that your content caused damage to a third party
  • Your violation of any applicable laws, rules, or regulations
  • Any fraudulent, illegal, or unauthorized use of the App

This indemnification obligation will survive the termination of these Terms and your use of the App.

12. Termination

We may terminate or suspend your access to the App immediately, without prior notice, for:

  • Violation of these Terms
  • Conduct that we determine is harmful to other users or our business
  • Request by law enforcement or government agencies

Upon termination, your right to use the App ceases immediately. Provisions regarding intellectual property, disclaimers, and limitations of liability survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the App shall be resolved through:

  • Negotiation: Good faith negotiations for 30 days
  • Mediation: If negotiation fails, mediation in Singapore
  • Arbitration: Binding arbitration under Singapore International Arbitration Centre rules

You agree that any arbitration shall be limited to the dispute between you and us individually. To the fullest extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

14. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right or provision
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction
  • Force Majeure: We are not liable for any failure or delay resulting from circumstances beyond our reasonable control
  • Headings: Section headings are for convenience only and have no legal effect

15. Apple App Store Terms

The following terms apply to the App when accessed through or downloaded from the Apple App Store:

15.1 Acknowledgment

You acknowledge that these Terms are between you and BITFORGE PTE. LTD. only, and not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. BITFORGE PTE. LTD., not Apple, is solely responsible for the App and the services and content available therein.

15.2 Scope of License

The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

15.3 Maintenance and Support

BITFORGE PTE. LTD. is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

15.4 Warranty

BITFORGE PTE. LTD. is solely responsible for any product warranties, whether express or implied by law. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.

15.5 Product Claims

BITFORGE PTE. LTD., not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

15.6 Intellectual Property

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, BITFORGE PTE. LTD., not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

15.7 Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
